SERVICE PROVIDER TERMS AND CONDITIONS
PLEASE READ THE FOLLOWING TERMS AND CONDITIONS ("PROVIDER TERMS") CAREFULLY. BY
CLICKING "I AGREE" OR BY ACCESSING OR USING THE SENIORNICITY.COM WEBSITE (THE
“WEBSITE” OR “PLATFORM”) AS A SERVICE PROVIDER, YOU AGREE TO BE BOUND BY THESE
PROVIDER TERMS WITHOUT MODIFICATION. IF YOU DO NOT AGREE, DO NOT USE THE WEBSITE
AS A SERVICE PROVIDER.
1. SERVICE PROVIDER LISTING
By listing your services for referrals on Seniornicity.com, you ("Service Provider") agree to pay a monthly
membership fee of $39.99 (the "Monthly Fee"). In exchange for this Monthly Fee, you will receive:
a) A listing on Seniornicity.com's directory of senior care service providers (a “Listing”);
b) The opportunity to be matched with potential clients seeking your specific services;
c) Access to Seniornicity.com's platform for managing your profile and client inquiries;
d) Exposure to a targeted audience of seniors and their families seeking care services.
You will receive a fifteen (30) day trial period (the "Trial Period") upon initial sign-up, during which you can access
all these benefits at no cost. After the Trial Period, your account will be automatically charged the Monthly Fee
unless cancelled. By continuing your membership beyond the Trial Period, you acknowledge the value of the
services provided and agree to the Monthly Fee.
2. CANCELLATION POLICY
Service Providers may cancel their listing at any time by providing a thirty (30) day written notice ("Cancellation
Notice Period"). To initiate cancellation:
a) Email support@jantsons.com with the subject line "Service Provider Listing Cancellation";
b) Include your full name, business name, and the email address associated with your account;
c) Clearly state your intent to cancel your listing.
Upon receipt of your cancellation request, your listing will remain active, and you will continue to have access to all
services during the Cancellation Notice Period. The final Monthly Fee will be prorated if the Cancellation Notice
Period extends into a new billing cycle. Cancellation does not relieve you of the obligation to pay any fees incurred
prior to the effective cancellation date. No refunds will be provided for partial months of service.
3. QUALIFICATIONS AND CERTIFICATIONS
3.1 Service Provider hereby represents and warrants that:
a) They hold all necessary and current licenses, certifications, and qualifications required by applicable laws
and regulations for their profession and related Services offered on the Website.
b) They possess an active license in their chosen field, if applicable.
c) They hold at least one relevant certification or designation (e.g., SRES, CNA, CSA) related to senior care
or services, if applicable.
d) All information provided in their Listing is true, accurate, and up to date.
e) They will promptly update Seniornicity.com of any changes to their qualifications, certifications, or
licensing status.
3.2 ADDITIONAL QUALIFICATION PROCESS.
Prospective Service Providers acknowledge and agree to the following:
a) They will undergo any additional qualification processes required by Jantsons, which may include but
are not limited to:
i. Completing additional testing or assessments;
ii. Submitting relevant documentation as requested;
iii. Reviewing and adhering to Jantsons' training materials or handbook;
iv. Participating in interviews or other evaluation procedures;
b) Final approval to become a Service Provider is at the sole discretion of Jantsons, based on the
satisfactory completion of all qualification process requirements.
c) Jantsons reserves the right to update or modify the qualification process at any time. Service Providers
agree to comply with any such changes to maintain their approved status.
d) Failure to complete or satisfy any part of the qualification process may result in denial or revocation of
Service Provider status.
e) Any costs associated with the qualification process shall be borne by the prospective Service Provider
unless otherwise specified by Jantsons.
f) The completion of the qualification process does not guarantee approval or continued status as a
Service Provider, which remains at Jantsons' sole discretion.
4. INDEMNIFICATION
Service Provider agrees to indemnify, defend, and hold harmless Jantsons, Inc., its subsidiaries, affiliates, officers,
directors, employees, agents, and partners (collectively, "Indemnified Parties") from and against any and all claims,
demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in
connection with:
a) Service Provider's use of the Seniornicity.com Platform;
b) Service Provider's violation of these Provider Terms;
c) Service Provider's violation of any rights of a third party related the Service Provider’s Listing, Services, or
in any way relating to or resulting from Service Provider’s use of the Website;
d) Any services provided by Service Provider to users found through Seniornicity.com;
e) Any misrepresentation made by Service Provider regarding their qualifications, certifications, or services as
required in these Provider Terms;
f) Any claim or legal action brought against the Indemnified Parties resulting from Service Provider's actions,
services, or representations; or
g) Any negligence, misconduct, or wrongful acts or omissions of Service Provider in the course of providing
services to users.
Service Provider's indemnification obligations include, but are not limited to, any claims arising from the quality,
performance, or non-performance of Service Provider's services, any disputes over fees or charges, and any alleged
violations of applicable laws or regulations in the provision of services.
This defense and indemnification obligation will survive these Provider Terms, Service Provider's use of the
Seniornicity.com platform, and termination or expiration of Service Provider's listing on Seniornicity.com and any
services provided as a result of such listing.
5. DISCLAIMER OF LIABILITY
Seniornicity.com is a referral platform only. We do not endorse, recommend, or guarantee the quality of any Service
Provider's services. Service Provider acknowledges that Jantsons, Inc. and Seniornicity.com are not responsible for
any outcomes resulting from Service Provider's interactions with users or the services provided. Service Provider
agrees to indemnify Jantsons, Inc. and related parties as set forth in Section 4. Indemnification of these Provider
Terms.
6. REPRESENTATION AND WARRANTIES
By clicking "I Agree" or by using the Seniornicity.com platform as a Service Provider, you expressly represent and
warrant that:
a) You have the legal capacity to enter into these Provider Terms;
b) You are duly licensed, certified, and qualified to provide the services listed in your Listing;
c) You will maintain all necessary licenses, certifications, and insurance throughout your use of the Platform;
d) You will comply with all applicable laws, regulations, and professional standards in providing your
Services; and
e) All information provided in your listing is and will remain true, accurate, and complete.
7. TERMINATION
Jantsons, Inc. reserves the right to immediately terminate or suspend Service Provider's Listing and access to the
Platform, in its sole discretion, for any reason, with or without cause, and without prior notice. Causes for
termination or suspension may include, but are not limited to: Violation of any provision of these Provider Terms;
Misrepresentation of qualifications, credentials, or services; Loss, suspension, or expiration of required licenses,
certifications, or insurance; Failure to pay the monthly membership fee or any other fees owed; Receipt of
complaints from users regarding Service Provider's conduct or services; Engagement in fraudulent, deceptive, or
illegal activities; Violation of any applicable laws, regulations, or professional standards; Any action that could harm
the reputation or business of Jantsons, Inc. or Seniornicity.com; Inactivity or non-response to user inquiries for an
extended period; Breach of the confidentiality or data protection provisions of these Terms.
a) Effect of Termination. Upon termination or suspension: Service Provider's listing will be removed from
the platform; Service Provider will lose access to all features of the Seniornicity.com platform; Any unpaid
fees will become immediately due and payable; Service Provider must cease all use of Seniornicity.com's
name, logo, and any other intellectual property; and Service Provider's obligations under the
indemnification, confidentiality, and dispute resolution provisions will survive.
b) Termination by Service Provider. Service Provider may terminate their listing by providing thirty (30)
days written notice as outlined in the Cancellation Policy. Jantsons, Inc. reserves the right to continue
displaying the Service Provider's basic listing information for a reasonable period following termination to
inform users of the Service Provider's unavailability.
c) No Refunds. No refunds will be provided for any prepaid fees upon termination by either party, except as
required by applicable law.
d) Reactivation. Jantsons, Inc. reserves the right to refuse reactivation of a terminated or suspended account.
Any reactivation may be subject to additional verification processes and fees.
e) Dispute Resolution. Any disputes arising from the termination or suspension of a Service Provider's
account shall be resolved in accordance with the Dispute Resolution provisions outlined in these Provider
Terms.
8. CHANGES TO PROVIDER TERMS
Jantsons, Inc. may modify these Provider Terms at any time. We will notify Service Providers of any material
changes by email or through the Platform. Continued use of the Platform after such modifications constitutes
acceptance of the updated Provider Terms.
9. ACKNOWLEDGMENT
BY CLICKING "I AGREE" OR BY USING THE SENIORNICITY.COM PLATFORM AS A SERVICE
PROVIDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE
BOUND BY THESE PROVIDER TERMS.
10. PAYMENT TERMS
The monthly Membership Fee of $29.99 will be automatically charged to the payment method on file at the end of
the fifteen (15) day Trial Period and every thirty (30) days thereafter. Failure to pay the membership fee may result
in immediate suspension or termination of your listing on Seniornicity.com. All fees are non-refundable, except as
required by law. Jantsons, Inc. reserves the right to change the Membership Fee with thirty (30) days' notice to
Service Providers. If a payment method fails or expires, Service Provider is responsible for updating their payment
information promptly. Failure to do so may result in suspension or termination of the listing. Jantsons, Inc. may
attempt to process the payment multiple times and/or contact the Service Provider for updated payment information.
11. LISTING CONTENT AND ACCURACY
Service Provider is solely responsible for the content of their listing, including but not limited to descriptions of
services, qualifications, and pricing. Service Provider agrees to keep their listing information current and to
promptly update any changes in their status, qualifications, or services offered. Jantsons, Inc. reserves the right to
remove or edit any listing content that violates these Provider Terms or is deemed inappropriate for the platform.
12. INTELLECTUAL PROPERTY
Service Provider retains all ownership rights in their own content provided for their listing. However, by submitting
content to Seniornicity.com, Service Provider grants Jantsons, Inc. a worldwide, non-exclusive, royalty-free license
to use, reproduce, distribute, and display this content for the purposes of operating and promoting the Platform. This
license terminates when the Service Provider removes their content from Seniornicity.com, except to the extent that
the content has been shared with or cached by users.
13. TAX RESPONSIBILITIES
Service Provider is solely responsible for determining their tax liabilities and for reporting, filing, and paying all
applicable taxes related to any income earned through Seniornicity.com. Jantsons, Inc. is not responsible for
determining whether taxes apply to Service Provider's services or for collecting, reporting, or remitting any taxes
arising from any transactions between Service Provider and users.
14. INTERACTIONS WITH USERS
Service Provider agrees to respond promptly and professionally to inquiries from users of Seniornicity.com. All
arrangements for services, including pricing, scheduling, and service delivery, are solely between the Service
Provider and the user. Service Provider agrees not to discriminate against any user based on race, color, religion,
national origin, sex, age, disability, or any other protected characteristic.
15. CONFIDENTIALITY AND DATA PROTECTION
Service Provider agrees to maintain the confidentiality of any user information obtained through Seniornicity.com
and to comply with all applicable data protection laws. Service Provider shall not use user information for any
purpose other than providing the requested services.
16. DISPUTE RESOLUTION
Any dispute between Service Provider and Jantsons, Inc. arising out of or relating to these Provider Terms or the use
of Seniornicity.com shall be resolved through the dispute resolution process outlined in the general Terms and
Conditions of Seniornicity.com.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JANTSONS, INC. AND ITS AFFILIATES SHALL
NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE
DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR
INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
RESULTING FROM:
a) SERVICE PROVIDER'S USE OR INABILITY TO USE THE SENIORNICITY.COM PLATFORM;
b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
c) ANY CONTENT OBTAINED FROM THE PLATFORM; OR
d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF SERVICE PROVIDER'S LISTING OR
TRANSMISSIONS.
18. RELATIONSHIP OF PARTIES
Nothing in these Provider Terms shall be construed as creating an employer-employee relationship, partnership,
joint venture, or agency relationship between Service Provider and Jantsons, Inc. Service Provider is an independent
contractor and is not an employee, agent, or representative of Jantsons, Inc.
19. SEVERABILITY
If any provision of these Provider Terms is held to be unenforceable or invalid, such provision will be changed and
interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and
the remaining provisions will continue in full force and effect.
20. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performance under these Provider Terms (other than for delay
in the payment of money due and payable hereunder) to the extent said failures or delays are proximately caused by
causes beyond that party's reasonable control and occurring without its fault or negligence. Such causes may
include, without limitation, acts of God or public enemies, civil war, insurrection or riot, fires, floods, explosions,
earthquakes, natural disasters or serious accidents, epidemics or quarantine restrictions, governmental actions,
strikes, lockouts, or other labor troubles, and software viruses or other malicious code not attributable to the actions
of the party seeking the benefit of this provision. Dates by which performance obligations are scheduled to be met
will be extended for a period of time equal to the time lost due to any delay so caused.
21. ENTIRE AGREEMENT
These Provider Terms, together with the general Terms and Conditions of Seniornicity.com, constitute the entire
agreement between Service Provider and Jantsons, Inc. regarding the use of the platform as a Service Provider,
superseding any prior agreements or communications.
BY CONTINUING TO USE SENIORNICITY.COM AS A SERVICE
PROVIDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE
BOUND BY ALL OF THE ABOVE TERMS AND CONDITIONS.
