These Terms of Service and Limitation of Liability (the "Terms") are a binding agreement between you and Seniornicity®, a brand operated by Jantsons, Inc. ("Seniornicity," "we," "us," or "our"), governing Seniornicity Transition Consulting services, including the Transition Assessment and Roadmap, Transition Support, Transition Concierge, and any custom engagement (collectively, the "Services"). By purchasing, scheduling, or using the Services, or by signing an engagement agreement that references these Terms, you accept these Terms in full. If you are engaging the Services on behalf of another person, you represent that you have the legal authority or that person's consent to do so, and "you" includes both you and that person.
Seniornicity serves families through corporate-operated locations and through local Chapter Locations that may be independently owned and operated. Where an independently owned Chapter Location delivers your Services: (a) your engagement is with that operator, which is identified in your engagement confirmation; (b) these Terms govern that engagement, and references to "Seniornicity" include that operator with respect to your engagement; and (c) each independently owned operator is an independent business solely responsible for its own operations, employees, consultants, and obligations. To the fullest extent permitted by law, Jantsons, Inc. and its affiliates are never responsible or liable for the acts or omissions of an independently owned operator, and no such operator is authorized to make commitments on behalf of Jantsons, Inc.
Seniornicity provides non-medical planning, navigation, education, resource coordination, and transition support for older adults and their families. Depending on the tier purchased, the Services may include an in-home consultation, an aging-in-place and home safety evaluation, a written transition report, follow-up calls, an assigned Transition Consultant, plan updates, provider introductions, and coordination with third-party providers you authorize. The specific scope, term, and included features of each tier are described on our Transition Consulting page and in your engagement confirmation, which together form part of these Terms.
Seniornicity is a non-medical service and holds itself out only as such. We are never a healthcare provider, home health agency, hospice, nursing service, physician practice, or licensed clinical service of any kind. The Services never include medical advice, diagnosis, treatment, medication management, clinical assessment, or clinical care management, and no consultant-patient or provider-patient relationship is created. Any information we share is for general planning and educational purposes only and is never a substitute for the advice of licensed medical professionals. Always direct medical questions to a physician or other qualified provider. If you believe there is a medical emergency, call 911 immediately.
In the course of the Services, Seniornicity may introduce, recommend, or coordinate with third-party providers such as caregivers and home care agencies, senior placement advisors, movers and move managers, estate sale companies, real estate professionals, lenders, property managers, home safety and modification contractors, attorneys, financial professionals, and other service businesses ("Providers"). You acknowledge and agree that:
Seniornicity's compensation for the Services consists of the consulting fees you pay, as published on our Transition Consulting page. Providers who participate in the Seniornicity network pay fees to Seniornicity for membership, advertising, technology, and platform access, and Seniornicity may from time to time receive marketing or referral compensation from Providers where and only as permitted by applicable law. Any such compensation is paid by the Provider, is designed to comply with the laws governing that Provider's industry, and is intended never to increase the price you pay a Provider. Seniornicity never splits fees with, or accepts referral compensation from, medical or legal professionals, and never accepts compensation in any manner prohibited by law. The recommendations in your plan are based on your family's needs.
The Services are advisory and coordinative. All decisions concerning housing, finances, care arrangements, purchases, sales, moves, and every other matter remain solely with you and your family. Seniornicity makes no representation, warranty, or guarantee regarding any particular outcome, timeline, cost, savings, sale price, availability of any Provider or community, or the results of following any plan or recommendation. Nothing in these Terms limits your right to share your honest opinions or reviews of Seniornicity or any Provider.
Fees for each tier are stated on our Transition Consulting page at the time of purchase and are payable in advance through our payment processor. Tier terms run from the date stated in your engagement confirmation. Where a tier includes a renewal option, renewal is at the rate published at the time of renewal and is optional for both parties. Additional in-person visits, coordination beyond the included scope, and custom engagements are quoted and billed as described on the Transition Consulting page or in a written quote. Our fees cover consulting, planning, monitoring, and coordination only; they never include the cost of any Provider or any third-party product or service. Except where required by law or expressly stated in a written engagement agreement, fees for Services already delivered are non-refundable. If you have a billing question or concern, contact us promptly at info@seniornicity.com and we will work with you in good faith.
You agree to provide accurate and complete information relevant to the engagement, to update us when circumstances change, to provide a safe and lawful environment for any in-home visit, to review the written materials we deliver, and to make timely decisions where the plan requires them. Where you authorize us to communicate with Providers or family members on your behalf, you confirm you have the authority to grant that authorization.
For tiers that include provider coordination, you authorize Seniornicity to communicate with the Providers and family members you designate for purposes of scheduling, status updates, document relay, and coordination of the plan. You may modify or revoke this authorization at any time by written notice. Coordination is administrative and logistical only and is never supervision of, or responsibility for, any Provider's work.
Seniornicity®, the Seniornicity logos, Take It Back™, Senior Transition Specialist (STS), Seniornicity Transition Consultant (STC), and all related names, marks, content, reports, materials, and training are the property of Jantsons, Inc. or its licensors and are protected by trademark and copyright law. Written reports and plans we deliver are licensed to you for your family's personal use. Any other reproduction, distribution, commercial use, or creation of derivative works requires our prior written consent.
Our collection and use of personal information is described in our Privacy Policy, which is part of these Terms and includes disclosures required under California law. By providing your contact information, you consent to receive communications from us related to your engagement by phone, email, and text message; message and data rates may apply, and you may opt out of texts at any time by replying STOP.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND SENIORNICITY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL SENIORNICITY, JANTSONS, INC., OR THEIR RESPECTIVE OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONSULTANTS, CONTRACTORS, AGENTS, AFFILIATES, OR INDEPENDENTLY OWNED CHAPTER LOCATIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF USE, DATA, OR EXPECTED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE TOTAL AGGREGATE LIABILITY OF SENIORNICITY AND SUCH PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NEVER EXCEED THE FEES YOU ACTUALLY PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS LIMIT CERTAIN EXCLUSIONS; IN THOSE JURISDICTIONS, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless Seniornicity, Jantsons, Inc., and their respective owners, officers, directors, employees, consultants, contractors, agents, affiliates, and independently owned Chapter Locations from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your engagement of, or dispute with, any Provider; (c) information you provide that is inaccurate or that you lacked authority to provide; or (d) your violation of any law or the rights of any third party.
Please read this section carefully; it affects your legal rights.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to the Services or these Terms that is unresolved after that period will be resolved exclusively by final and binding arbitration administered by JAMS under its applicable rules, before a single arbitrator, in Orange County, California, unless we agree otherwise in writing. Judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small claims court if it qualifies, and either party may seek equitable relief in court for infringement or misuse of intellectual property.
Class action and jury waiver. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NEVER AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NEVER CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. BY AGREEING TO THESE TERMS, YOU AND SENIORNICITY EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION.
Except where prohibited by law, any claim must be commenced within one (1) year after it arises.
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Subject to the arbitration provision above, the state and federal courts located in Orange County, California will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.
We may update these Terms from time to time by posting the revised version on this page with a new effective date; changes apply prospectively, and your continued use of the Services after posting constitutes acceptance. Either party may end an engagement as described in the applicable tier or engagement agreement. Sections that by their nature should survive (including Sections 2 through 7 and 11 through 18) survive termination. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in full force. These Terms, together with our Privacy Policy, the Transition Consulting page, and your engagement confirmation, are the entire agreement between you and Seniornicity regarding the Services. Our failure to enforce any provision is never a waiver of it.
